1. Why Nevada

Nevada markets itself on privacy and asset protection, and unlike some of that reputation, the privacy part is real: Nevada doesn't require members or managers to be named on the public record by default, and it offers formal nominee manager and nominee member structures — an actual product, not just a marketing claim. The trade-off is cost: Nevada is the most expensive of the four states here to both form and maintain, once you count the state's own mandatory annual charges.

Use cases: founders prioritising genuine ownership privacy over the lowest sticker price, asset-holding structures, and businesses where Nevada's strong charging-order protection for LLC membership interests is a real consideration.

🔒

"No public register" is not the same as "anonymous." Your registered agent still collects KYC on every member and manager before formation. Nevada's privacy is about keeping that information off the state's public filings, not about hiding it from Otonomos or regulators — the nominee options below go a layer further, for founders who want privacy from public search specifically.

2. The process, step by step

Choose and clear your LLC name. Must be distinguishable from existing Nevada entities and include an LLC designator.

File Articles of Organization with the Nevada Secretary of State, along with the Initial List of Managers or Members and the State Business License application — these are typically filed together at formation.

Adopt an Operating Agreement. Not filed with the state, provided as a template as part of the base package.

Get your EIN from the IRS. Free and instant with a US Social Security Number; otherwise Otonomos handles the filing for US$180.

File your Annual List and renew your State Business License every year by the last day of your LLC's anniversary month — for US$150 and US$200 respectively.

🌍

Formation requires no US visit and no US Social Security Number. Non-resident, non-citizen founders can own a Nevada LLC 100% — the ongoing cost is the state's own US$350/year in combined charges, on top of Otonomos's fee.

3. The honest number: what a Nevada LLC actually costs

Nevada's state filing costs are the highest of the four states covered here — worth knowing before you assume "no income tax" means "cheap." Here's the full cost of forming and maintaining a Nevada LLC through Otonomos:

ItemFrequencyCost
IncorporationOne-timeUS$169
Government feeOne-timeUS$425
One-time subtotalUS$594
Registered address & officeAnnualUS$216
Otonomos annual subtotalUS$216
Total, year one (Otonomos fees only)US$810

→ Order the base package now

⚠️

That US$810 is what you pay Otonomos. Nevada's own Annual List (US$150) and State Business License (US$200) — US$350/year combined — are separate, mandatory, and due every year by your LLC's anniversary month. Miss the deadline and Nevada charges a US$175 late fee and puts the LLC into "Default" status. Real first-year cost including Nevada's own fees: roughly US$1,160, with US$566/year recurring after that (Otonomos's US$216 plus Nevada's US$350).

Nominee Manager and Nominee Member, explained

A nominee manager or member sits on Nevada's public filings in place of the beneficial owner, while a private agreement between you and the nominee preserves your actual control and economic rights. This is the mechanism that makes Nevada's privacy claim concrete rather than just an "no public register by default" footnote — it's a real, priced product, not a workaround.

💡

Otonomos's catalog still lists a "Beneficial Ownership Registry" filing add-on for US$200. As of FinCEN's final rule in August 2026, domestic LLCs are permanently exempt from federal beneficial ownership reporting — for a standard Nevada LLC, this filing is no longer necessary. Confirm with support before adding it.

4. What you owe every year, regardless

Nevada Annual List — US$150/year

Filed with the Nevada Secretary of State by the last day of your LLC's anniversary month, listing current managers or members (or your nominees, if used).

Nevada State Business License renewal — US$200/year

Renewed on the same anniversary-month deadline as the Annual List. Combined, these are Nevada's real recurring cost — US$350/year, separate from Otonomos's own fee.

Registered address & office — Otonomos's US$216/year

Mandatory for the life of the LLC, in addition to Nevada's own charges above.

Commerce Tax — only above US$4 million in Nevada gross revenue

Applies only to businesses with Nevada gross revenue exceeding US$4 million in a taxable year — irrelevant for most early-stage entities, but worth knowing if you expect significant Nevada-sourced revenue.

5. What to avoid

  • Don't assume "no income tax" means "cheap." Nevada's combined formation and first-year state charges are the highest of the four states covered here, once the Annual List and Business License are counted.
  • Don't miss your anniversary-month renewal. A US$175 late fee applies, and the LLC can be placed into "Default" status.
  • Don't confuse "no public register by default" with the nominee product. They're related but distinct — the nominee manager/member service is what actually keeps your name off searchable filings; going without it still keeps most information off the public record, but a curious party who knows to ask your registered agent may find more than you'd expect without a nominee in place.
  • Don't add the Beneficial Ownership Registry filing by default. As of August 2026, domestic LLCs are exempt from federal BOI reporting.

6. How Otonomos helps

We handle formation, the registered address requirement, and can arrange nominee manager or member structures for founders who want genuine privacy from public search. EIN, banking, and structuring guidance are available as add-ons, all tracked through the Otonomos Dashboard.

Frequently asked questions

Is Nevada actually cheaper than California or Florida?

No — Nevada has the highest combined formation and first-year state costs of the four states covered here, once the US$425 government fee and the US$350/year Annual List plus Business License are counted. Its advantage is privacy and asset protection, not price.

Is my ownership information really private in Nevada?

Not automatically searchable by default, but your registered agent still holds full KYC records. For genuine privacy from public search, the Nominee Manager or Nominee Member add-ons are the actual mechanism.

Do I still need to file a Beneficial Ownership Information report?

No, as of FinCEN's August 2026 final rule, domestic LLCs are permanently exempt from BOI reporting under the Corporate Transparency Act.

What happens if I miss the Annual List / Business License renewal?

Nevada charges a US$175 late fee and places the LLC into "Default" status, which can escalate toward administrative dissolution if left unresolved.

Does Nevada have a corporate or franchise tax like California or Delaware?

No state personal or corporate income tax, and no franchise tax. The Commerce Tax applies only above US$4 million in Nevada gross revenue, which is out of scope for most early-stage entities.
