The Isle of Man Limited Company (structured under the island's modern 2006 Act) is Otonomos' entity of choice for founders who want a well-regulated, crypto-receptive common law base without the compliance load of an onshore EU or UK entity. The Isle of Man is a self-governing British Crown Dependency — not part of the UK, not part of the EU — with its own company law, its own courts, and a standard corporate tax rate of 0%.
Manx corporations benefit from flexible, business-friendly law: a single director (which can itself be a corporate body), a single member, and no minimum share capital requirement. Tax Status
The Isle of Man's standard rate of corporate income tax is 0%. Three exceptions apply: licensed banking business and retail business profits above £500,000 are taxed at 10% (temporarily 15% for the 2024/25 year of assessment only), and Isle of Man land and property income — plus petroleum extraction activity from April 2024 — is taxed at 20%. There is no capital gains tax. VAT is charged at a standard rate of 20% (the island shares a single VAT territory with the UK), with registration required once taxable turnover exceeds £90,000 in a rolling 12-month period.

Legal Requirements
A 2006 Act company requires at least one director (which may be a corporate body) appointed within one month of incorporation, and a single member stated on the Memorandum. There is no minimum share capital. Every company must have a Registered Agent as defined under section 74(3) of the Companies Act 2006 — only a person holding a Class 4 licence under the Financial Services Act 2008 may act as Registered Agent, and only the Registered Agent may file the incorporation application. The proposed company name must also be approved by the Companies Registry before incorporation documents are filed.
Privacy
Company filings at the Companies Registry disclose basic corporate details, but not beneficial ownership. Under the Beneficial Ownership Act 2017 (substantially updated in 2026), every Manx company must appoint a nominated officer who identifies, verifies, and submits details of any Registrable Beneficial Owner (broadly, 25% or more ownership or control, or control via other means with no threshold) to the non-public Isle of Man Database of Beneficial Ownership. Access to that Database is restricted to designated authorities and specific AML-obliged entities — not the general public.

KYC Verification Process
After the company details are submitted, each natural participant receives a KYC invitation via SumSub to upload a certified copy of ID, proof of address, and — depending on package — a source-of-wealth declaration. Entity Maintenance
Keeping an Isle of Man company in good standing means:
- Filing an annual return with the Companies Registry, made up to the company's return date and submitted by the Registered Agent within one month of that date.
- Maintaining reliable accounting records — the 2006 Act does not require audited financial statements, but the company must keep records sufficient to explain its transactions and determine its financial position with reasonable accuracy.

Renewal Periods
The Registered Agent and registered office service renews annually, alongside the Companies Registry's annual return filing.
Reporting
Beyond the annual return and beneficial ownership Statement of Compliance, a company with any Isle of Man-source assessable income must file an income tax return; a company registered for VAT (turnover above £90,000) must file VAT returns under the island's shared VAT arrangement with the UK.
Shutting down your entity
A solvent Isle of Man 2006 Act company can be closed in one of two ways: an administrative dissolution under section 190 of the Act, where a director files an application with a statutory declaration confirming the company has ceased trading and settled its debts, or a formal members' voluntary winding up. Administrative dissolution is only available if the company has not traded, changed its name, or disposed of property for value in the preceding three months, and is not involved in any ongoing legal proceedings.
