The Innovation City DAO Association: UAE's Legal Framework for DAOs
What Ras Al Khaimah's DAO Association Regime actually looks like today — after RAK DAO's 2025 rebrand — including formation requirements, membership structure, and where Otonomos fits in.
This article replaces an earlier Otonomist piece on the same topic. When we first covered this framework in late 2024, it was called RAK DAO (Ras Al Khaimah Digital Assets Oasis) and the legal wrapper was known as DARe (the DAO Association Regime). In September 2025, RAK DAO rebranded entirely as Innovation City, widening its scope from digital-assets-only to five sectors: Web3 and digital assets, AI, gaming and iGaming, robotics, and healthtech. The DAO legal wrapper itself is now formally the Innovation City DAO Association, governed by Innovation City's own DAO Association Regulations. The legal mechanics below are updated against that current regulation text, not the 2024 announcement.
What the DAO Association actually is
A DAO Association is a not-for-profit legal wrapper, distinct from Innovation City's standard for-profit freezone company. It gives a DAO a genuine legal personality in the UAE: it can own assets, enter contracts, and operate on-chain and off-chain, without individual members carrying personal liability for the group's decisions. It is legally separate from — and not to be confused with — a standard Innovation City commercial company, which most Web3 businesses (exchanges, DApp developers, trading operations) still use for revenue-generating activity.
Key structural features
Founding Members. A DAO Association needs a minimum of two Founding Members and a maximum of ten at any given time. Each Founding Member provides a Guarantee — an undertaking to contribute a specified amount toward the Association's liabilities if it winds up insolvent — rather than holding shares. This guarantee-based structure, not share ownership, is what keeps the entity classified as not-for-profit.
Governance by Council. Day-to-day and strategic decisions sit with a Council, whose members are natural persons; a Founding Member may also serve as a Council Member. The Constitution — the Association's foundational governance document — sets out voting rights, Governance Token features, and the process for electing or removing Council Members.
Startup vs. Alpha designation. Every applicant must specify at incorporation whether it is applying as a Startup DAO Association or an Alpha DAO Association. The precise eligibility thresholds (treasury size, member count) are set by Implementing Regulations issued separately by the Authority and have been adjusted since the framework's 2024 launch — confirm current thresholds directly with Innovation City or with our team before assuming last year's figures still apply.
Governance Tokens and the 25% disclosure trigger. The Constitution may authorise issuing Governance Tokens to Founding Members in exchange for their Guarantee. If any token holder crosses 25% of voting rights for 30 consecutive days or more, they must disclose this to the Registrar within 15 days — a beneficial-ownership-style trigger built directly into the DAO framework rather than bolted on separately.
Registered Agent or Manager. Every DAO Association (other than a Startup DAO Association, which may be exempt) must appoint a Manager or Registered Agent based in the UAE, responsible for maintaining the Association's registered office and statutory records.
Internal Register and reporting. Associations must maintain an Internal Register recording Founding Members, Council Members, and Council Meeting minutes, open to inspection by the Registrar, Founding Members, Officers, and Token Holders. Annual Accounts and an Annual Return must be filed with the Registrar.
Formation process
- Confirm eligibility — a clearly defined purpose, a workable governance model, and (where relevant) deployment on a permissionless, open-source distributed ledger.
- Prepare documentation — a Constitution, business plan, white paper, and (for token-issuing DAOs) tokenomics documentation and a legal opinion on token classification.
- Secure your two to ten Founding Members and their Guarantees, plus the identity and KYC details of proposed Council Members.
- Submit the incorporation application to the Registrar, naming the DAO Association, its Registered Agent or Manager, and its Startup/Alpha designation.
- Complete KYC/AML checks for all Founding Members, Council Members, and any Manager — standard requirement across every UAE free zone entity.
- Separate authorisation for Virtual Asset Services. Activities such as exchanging digital assets or providing custody on behalf of others require a separate Virtual Asset Service Provider (VASP) authorisation under UAE-wide rules — a DAO Association wrapper alone does not cover this.
