Tax Status
Estonia taxes corporate profit only on distribution. Legal Requirements
An OÜ is formed under the Commercial Code with a minimum share capital of €0.01 per shareholder (since the 1 February 2023 reform) and at least one management board member. If the entire board is based outside Estonia, the company must maintain a licensed contact person and a legal address in Estonia — the core of our ongoing service.
Privacy
Beneficial ownership data is recorded directly in the e-Business Register under the Money Laundering and Terrorist Financing Prevention Act, and must be kept current within 30 days of any change. Public access to this data was restricted in 2025 following an EU Court of Justice ruling, then reopened in January 2026 — confirm current access rules with our team if this matters to your structure.

Once your package is ordered, you will receive a confirmation email with an invitation link to the Otonomos Dashboard. From there you will complete the company application form, which requests:

KYC Verification Process
After the company details are submitted, each natural participant receives a KYC invitation via SumSub to upload a certified copy of ID, proof of address, and — depending on package — a source-of-wealth declaration. Our Estonian contact person conducts its own due diligence review as part of this process.
Time to incorporate
Registration is typically completed within 15 business days once your Business Register application is submitted and due diligence is cleared. Entity Maintenance
Keeping an Estonian OÜ in good standing means:
