How Much Does It Actually Cost to Open a Company in the BVI?

The full, itemized cost of forming a BVI Business Company — $4,926 in year one through Otonomos, broken into one-time vs. recurring charges, plus how that compares to shopping it yourself.

The honest number, broken all the way down to the line item: $4,926 in year one through Otonomos — $2,616 of it one-time, $2,310 of it recurring every year after. Here's exactly what each dollar is for, and how that compares to doing it yourself.

Most "BVI company formation cost" pages quote you a single number and move on. That number is almost never the whole story — it usually hides which parts are one-time, which repeat annually forever, and which government fees are baked in versus billed separately. Below is the actual itemized breakdown, pulled straight from a live BVI Business Company configuration, plus what the same setup costs if you shop it yourself.

The full breakdown: $4,926 in year one

This is the "Starter Kit" — the minimum required to legally form and maintain a BVI Business Company, with nothing optional added.

Line itemFrequencyCost
IncorporationOne-time$2,066
Beneficial Ownership Registry filingOne-time$550
One-time subtotal$2,616
Registered Address & Office (your local agent)Annual$980
Government FeeAnnual$550
Economic Substance filing (ESA)Annual$340
Annual Return preparationAnnual$250
Due Diligence (ongoing compliance)Annual$190
Annual subtotal$2,310
Total, year one$4,926

From year two onward, assuming nothing changes: you only pay the annual subtotal — $2,310/year. The incorporation fee doesn't repeat, and the Beneficial Ownership Registry filing is a one-time event unless the beneficial ownership itself changes, in which case an update filing is required within 30 days.

What each of these actually is

Incorporation ($2,066, one-time) covers the actual formation: name check, drafting the Memorandum and Articles of Association, filing with the Registry, and appointing Otonomos as your registered agent to activate the company.

Beneficial Ownership Registry filing ($550, one-time) is the mandatory filing of who actually owns the company. This regime moved to the new VIRRGIN platform on 2 January 2025, with a transitional deadline of 1 January 2026 for entities that existed before the switch. The base government filing fee under the new regime is $125 for new registrations — the $550 Otonomos charges covers that fee plus the service of maintaining and updating the beneficial ownership record on your behalf.

Government Fee ($550/year) is not an Otonomos markup — it's the actual BVI government's annual registration fee, set by the BVI Business Companies Act, for a company authorized to issue up to 50,000 shares. If you need to authorize more than 50,000 shares, the government fee jumps to $1,350/year — worth knowing before you over-specify your share structure.

Economic Substance filing ($340/year) covers preparing and filing your annual ES declaration — confirming whether you conduct a "relevant activity" under the BVI's economic substance regime and, if so, that you meet the substance requirements. Most straightforward holding or SPV structures file as "out of scope," but the declaration itself is still mandatory every year.

Annual Return preparation ($250/year) exists because of a relatively recent rule: since 1 January 2023, every BVI company must prepare and file an Annual Return — a basic balance sheet and income statement — with its registered agent (not with the Registry itself, so there's no separate government fee for this one). Miss it and the penalty starts at $300 for the first month, then $200 for every month after, capped at $5,000 — though the BVI Financial Services Commission announced in September 2024 that it would waive penalties for late 2023 filings "until further notice," so enforcement here has been softer than the letter of the law suggests. Don't bank on that leniency continuing indefinitely.

Due Diligence ($190/year) is Otonomos maintaining your KYC file and ongoing compliance monitoring — required so your registered agent can keep vouching for who you are if a bank, exchange, or regulator ever asks.

How this compares to shopping it yourself

If you went directly to a mid-market BVI registered agent instead of a bundled platform like Otonomos, a realistic breakdown looks like this:

  • Government incorporation fee: $550 (same as above — this is fixed by law, not by provider)
  • Registered agent's incorporation service fee: $800–2,000, plus $200–500 for KYC/due-diligence document review
  • Registered agent + registered office, ongoing: $500–785/year
  • Annual Return preparation: $350–500/year
  • Economic Substance declaration: $350–600/year (more if you're actually "in scope" for a relevant activity)
  • Beneficial ownership filing/maintenance: often bundled, or $150–300/year if billed separately

Add it up and a realistic all-in first year across mid-market providers lands somewhere around $2,500–$5,000, with bare-bones providers below that range and premium law-firm-grade providers above it. Otonomos' $4,926 sits at the upper end of that range — priced as a full-service bundle rather than a stripped-down DIY registered-agent relationship, but not out of line with what a comparable service level costs elsewhere.

If you actually want to operate, not just incorporate

The numbers above cover a BVI company that exists on paper and stays compliant — a genuine holding vehicle or SPV. If you're building something that needs to actually move money or tokens, the real cost is higher, because you're buying more than a legal entity:

  • Prop Trading setup (CEX/DEX account opening handled for you): +$3,200
  • Token Issuance (structuring a pre-sale or distribution): +$6,800
  • Crypto Hedge Fund (Reg-Light VC or fund structure, up to US$100M in assets): +$17,600

These are add-ons on top of the base Starter Kit, not replacements for it — worth budgeting for separately depending on what the entity is actually going to do.
