1. Why Florida
Florida's pitch is genuinely simple: no state income tax, a low formation fee relative to California or Nevada, and a business-friendly reputation that's held up for over a decade of population and business migration into the state. It's a solid default for service businesses, e-commerce, and consulting operations, particularly for founders who are actually relocating to or operating from Florida.
Use cases: operating companies with US clients or US-based founders, holding structures where a no-income-tax state matters, and businesses that want US banking access without the higher formation costs of Nevada or California.
Unlike Nevada, Florida is not a privacy jurisdiction. Managing members or managers are listed on the publicly searchable Annual Report and Articles of Organization on Sunbiz. If beneficial-ownership privacy from public search is the priority, Nevada's nominee structures are the better fit — see the Nevada LLC page.
2. The process, step by step
Choose and clear your LLC name. Must be distinguishable from existing Florida entities and include an LLC designator.
File Articles of Organization with the Florida Division of Corporations. The state filing fee is US$125.
Adopt an Operating Agreement. Not filed with the state, but recommended and provided as a template as part of the base package.
Get your EIN from the IRS. Free and instant with a US Social Security Number; otherwise Otonomos can handle the filing for US$180.
File your first Annual Report the year after formation, between January 1 and May 1, for US$138.75 — this is separate from formation and recurs every year for the life of the LLC.
Formation itself requires no US visit and no US Social Security Number. Non-resident, non-citizen founders can own a Florida LLC 100% — the ongoing friction is the mandatory Annual Report deadline and, separately, US banking.
3. The honest number: what a Florida LLC actually costs
Most guides stop at the US$125 state filing fee. Here's the full cost of forming and maintaining a Florida LLC through Otonomos:
| Item | Frequency | Cost |
|---|---|---|
| Incorporation | One-time | US$169 |
| Government fee | One-time | US$125 |
| One-time subtotal | US$294 | |
| Registered agent and local address | Annual | US$216 |
| Otonomos annual subtotal | US$216 | |
| Total, year one (Otonomos fees only) | US$510 |
That US$510 is what you pay Otonomos. Florida's own Annual Report fee of US$138.75 is separate, due every year between January 1 and May 1, and carries a non-waivable US$400 late penalty if missed — with administrative dissolution a real risk if you miss the state's late-September deadline entirely. Real first-year cost including Florida's own fee: roughly US$649.
A few optional services worth pricing out before you need them:
| Add-on | Frequency | Cost | Direct link |
|---|---|---|---|
| Annual Report Compliance (Otonomos files it for you) | Annual | US$140/year | Add to cart → |
| EIN Application | One-time | US$180 | Add to cart → |
| Fiat Bank Account Opening, US | One-time | US$2,260 | Add to cart → |
| Crypto Exchange Account Opening | One-time | US$1,200 | Add to cart → |
| Cross-jurisdictional Guidance & Structuring Advice | One-time | US$2,000 | Add to cart → |
Otonomos's catalog still lists a "Beneficial Ownership Registry" filing add-on for US$200. As of FinCEN's final rule in August 2026, domestic LLCs are permanently exempt from federal beneficial ownership reporting — for a standard Florida LLC, this filing is no longer necessary. Confirm with support before adding it.
4. What you owe every year, regardless
Florida Annual Report — US$138.75, due January 1 – May 1
Owed every year the LLC exists, regardless of income or activity. Filed after May 1 carries a non-waivable US$400 late penalty; failing to file entirely by the third Friday in September risks administrative dissolution of the LLC.
Registered agent and local address — Otonomos's US$216/year
Mandatory for the life of the LLC. Separate from and in addition to Florida's own Annual Report fee.
No state income tax filing
Florida has no personal state income tax, so there's no separate state income tax return to file for the LLC's owners — a genuine simplification relative to California.
5. What to avoid
- Don't miss the May 1 Annual Report deadline. The late penalty is a flat US$400 — more than double the fee itself, and non-waivable.
- Don't confuse "no income tax" with "no annual fee." Florida's own Annual Report fee recurs every year regardless of income tax status.
- Don't assume privacy. Florida lists managing members and managers publicly on Sunbiz — if that's a concern, Nevada's nominee structures are the better fit.
- Don't add the Beneficial Ownership Registry filing by default. As of August 2026, domestic LLCs are exempt from federal BOI reporting.
6. How Otonomos helps
We handle formation, the registered agent and local address requirement, and can file your Annual Report on your behalf so the May 1 deadline and its US$400 late penalty are never a surprise. EIN, banking, and structuring guidance are available as add-ons, all tracked through the Otonomos Dashboard.
Frequently asked questions
Do I need to be a US resident to form a Florida LLC?
No. Non-US residents and non-citizens can own 100% of a Florida LLC.
What happens if I miss the Annual Report deadline?
A non-waivable US$400 late fee applies if filed after May 1. Failing to file entirely by the state's late-September cutoff risks administrative dissolution.
Is my ownership information public in Florida?
Yes. Managing members or managers are listed on the publicly searchable Annual Report and Articles of Organization.
Do I still need to file a Beneficial Ownership Information report?
No, as of FinCEN's August 2026 final rule, domestic LLCs are permanently exempt from BOI reporting under the Corporate Transparency Act.
Does Florida have a state income tax on LLC profits?
No. Florida has no personal state income tax, which is the main reason it's a popular alternative to California for pass-through entities.
